中文摘要：	随着国家经济飞速发展，国内的股权创业投资发展迅速，与此同时，各种民间资本大量涌入一级市场，我国成为世界股权投资十分活跃地区之一。但目前世界经济持续低迷，经济大幅减速也带来了资本泡沫的不断膨胀，我国股权投资市场呈现出资金少、项目多，但是优质项目十分欠缺的现象。同时投资机构投资盲目，没有一套完善的尽调流程和决策机制，对于拟投项目情况了解不足，导致项目难以退出、投资后续问题持续不断爆发。投资机构对于项目的判断方法、决策项目的流程逐渐成为股权投资行业所关注的焦点。 本文将研究重点放在“募投管退”中的“投”这个环节，以TC资本对S环保公司的股权投资决策问题作为研究对象，首先梳理股权创业投资的基本概念、行业现状，并从主营业务、投资亮点、财务分析和预测等方向阐述了TC资本对S环保公司的投资逻辑及内部决策过程，其次围绕估值、投资收益、方案设计等方面对投资的方案进行详细分析，最后通过风险提示及风险管理策略分析，对TC资本投资S环保公司的整个方案进行全面剖析和清晰决策。 本文运用理论与实际案例结合、文献研究法、定性与定量相结合以及综合分析法等，对投资机构的项目决策进行详细研究，希望能够为市场中投资机构向环保行业进行投资提供参考意义。本论文图9幅，表17个，参考文献43篇。
英文摘要：	With the rapid development of the national economy, the development of domestic equity venture capital is rapid, at the same time, a large number of private capital into the primary market, China has become one of the most active regions in the world in equity investment.. However, at present, the world economy is still in a downturn, and the sharp economic slowdown has also brought about the continuous expansion of the capital bubble. China's equity investment market presents a situation of less capital and more projects, but fewer high-quality projects. At the same time, investment institutions are blind in investment and do not have a perfect set of due diligence process and decision-making mechanism. They do not know enough about the project to be invested, and it is difficult for them to exit the project and problems will continuously break out after investment. Investment institutions for the project judgment method, decision-making process of the project has gradually become the focus of the equity investment industry. This paper focuses on the "investment" part of "fund raising, investment management and withdrawal". Taking equity investment decision-making from TC capital to S environmental protection company as the research object, firstly, it combs the basic concept of equity venture capital, industry status quo, and expounds the investment logic and internal decision-making process of TC capital to S environmental protection company from the aspects of main business, investment highlights, financial analysis and prediction. Secondly, the investment scheme is analyzed in detail around valuation, investment returns and scheme design. Finally, the whole scheme of TC Capital Investment S Environmental Protection Company is comprehensively analyzed and made clear decision through risk prompting and risk management strategy analysis. This paper uses the combination of theory and practical cases, literature research, qualitative and quantitative analysis and comprehensive analysis to study the project decision-making of investment institutions in detail, hoping to provide reference for investment institutions in the market to invest in environmental protection industry. There are 9 figures, 17 tables and 43 references in this paper.
