中文摘要: | 随着中国经济的发展,中国的民营企业也面临着新的机遇与挑战,在国内竞争环境日趋激烈的情况下,为提高企业和产品知名度,拓展国际市场,民营企业也试图采取“走出去”的办法。但是中国民营企业在中国改革开放后发展时间较短,具有着经验不足、公司未来战略规划不明确的缺点,因此,民营企业面临着既要生存,又要走出去进一步发展的现状。本研究在着重分析了以天狮集团为例的当前中国民营企业的现状、发展趋势之后,提出了天狮集团建立跨国投资的基本方法和模式。又以天狮集团的两个案例为核心,深入剖析了中国民营企业在跨国经营中的优势和劣势。天狮集团在越南实施跨国经营,选择投资的方式进行厂房建设,可以为企业跨国经营带来巨大的商业机会。但是,东盟国家市场相对要比国内复杂得多,天狮集团在越南的跨国投资面临着很多投资风险。因此,本研究对天狮集团越南跨国内部投资案例的分析,确定企业内部投资的标准。本文通过天狮集团新西兰并购项目分析,结合一般的通用理论,提炼天狮集团的跨国并购的相关标准。通过对天狮集团新西兰并购项目的分析,可以获知在跨国并购中,企业具有哪些资源优势,还存在哪些资源劣势,以方便天狮集团确定并购对象的标准。天狮集团通过跨国并购的方式,其目的是实现新行业的突破,扩大营业范围,增强市场实力,利用被并购企业现有的基础设施,有利于快速进入,实现规模扩张。本研究探讨了天狮集团实施跨国经营的可能性,通过对天狮集团内部条件以及外部环境的分析,初步得出天狮集团实施跨国直接投资能够企业全球化经营战略服务。同时,利用两个案例,分别研究了天狮集团跨国内部投资和跨国并购两种直接投资过程,形成了天狮集团两种投资方式的投资标准,以及风险防范等应注意事项,能够指导天狮集团未来跨国经营战略的进一步规划。 | |
英文摘要: | With the development of China's economy, China 's private enterprises are faced with new opportunities and challenges, the domestic competitive environment increasingly competitive circumstances, to enhance corporate and product visibility, expand the international market, private enterprises have also tried to adopt the "going out" approach. But Chinese private enterprises in China after the reform and opening up the development time is short, with a lack of experience, the company 's future strategic planning is not clear shortcomings, therefore, private enterprises are faced with not only to survive, but also go further development present situation. This study focuses on the analysis of the Tiens Group as an example of the current Chinese private enterprise's present situation, development trend, put forward to establish Tiens Group of multinational investment of basic methods and models. In the two case of Tiens Group as the core, in-depth analysis of Chinese private enterprises in the transnational business advantages and disadvantages. Tiens Group in Vietnam to implement transnational management, the choice of investment mode for plant construction, can provide enterprises transnational management bring enormous business opportunities. However, the market of ASEAN countries are relatively much more complex than domestic, Tiens Group in Vietnam transnational investment is facing a lot of investment risk. Therefore, the research on the Tiens Group Vietnam transnational internal investment case analysis, to determine the internal investment standard. This article through the Tiens Group New Zealand investment analysis, combined with the general theory of the general, refining the Tiens Group International M & standards. The Tiens Group New Zealand merger project analysis, can learn in the cross-border mergers and acquisitions, the enterprise has what resource advantage, still exist what resource advantage, to facilitate the Tiens Group to determine the acquisition object standard. Tiens Group by means of cross-border M & A, its purpose is implementation new industry breakthrough, expanded the scope of business, enhance market strength, use of the merged enterprise existing infrastructure, facilitate the rapid entry, to achieve the scale of expansion. This study explores the Tiens Group implement transnational management possibilities, the Tiens Group internal conditions and external environment analysis, the preliminary draw Tiens Group in the implementation of transnational direct investment to enterprise globalization business strategy services. At the same time, using two case, respectively, of Tiens Group International internal investment and cross-border M & a two direct investment process, forming the Tiens Group two investment investment criteria, and risk precautions should pay attention to matters, can guide the Tiens Group future transnational management strategy for further planning. | |
