中文摘要：	随着国有企业改革的发展，作为国有传媒产业的非时政类报刊，也在不断地探索市场化经营之路，以适应网络媒体快速发展带来的挑战。我国的行业报作为非时政类报刊的主体，转企改制后能否适应市场的发展，建立合理有效的公司治理体系，对于整个非时政类报刊乃至整个新闻传媒事业改革具有重要的现实意义。本文选取我国行业报为研究对象，采用文献分析法，结合案例研究、深度访谈等方法，探讨我国行业报转企改制后的问题及解决对策。从公司治理要素方面分析传媒企业在公司治理方面的特殊属性；分析传媒企业在公司治理结构上的特点，以及在股权结构和内部治理结构方面存在的问题及应对。本文以作者亲历的中国企业报集团公司治理状况进行了实证研究。阐述了中国企业报集团公司治理现状，对改制后的公司治理结构存在的问题进行了解析。进而提出了改进和完善中国企业报集团公司治理中的股权架构的合理化及公司治理的建议和思考。作者结合有关理论、经验和实际操作，提出了我国的行业报改制后，同其他公司一样，要建立合理的公司治理结构，提出传媒企业公司治理要充分考虑作为传媒企业独有的采编与经营双核心运营机制，在公司治理结构中要设置总编辑岗位，在职责上编委会应当与董事会处于同等重要位置。这为我国行业报改制后，在公司治理发展方面提供可行路径，希望能够对我国传媒改革提供借鉴。
英文摘要：	With the development of the reform of state-owned enterprises, as a non political newspapers owned media industry, are constantly exploring the market operation of the road, in order to adapt to the challenges brought by the rapid development of the network media. China's newspaper industry as the main non political newspapers, enterprises can adapt to the development of the market, to establish a reasonable and effective system of corporate governance, has important practical significance for the entire non political newspapers and the news media industry reform. This paper selects China's industry newspaper as the research object, using the method of literature analysis, combined with case study, in-depth interviews and other methods, to explore the problems and Countermeasures of the reform of China's industry newspaper. The special attribute of media enterprises in the field of corporate governance from the analysis of corporate governance factors; analysis on corporate governance characteristics of media companies, and exists in the ownership structure and internal governance structure and the problems. In this paper, China enterprise newspaper group corporate governance situation the author makes an empirical study. This paper expounds the present situation of the corporate governance of Chinese enterprises, and analyzes the problems existing in the corporate governance structure after the reform. And then put forward the improvement and perfection of the equity structure of China's corporate governance in the corporate governance of the rationalization of the recommendations and suggestions and corporate governance. The author of the theory, practice and experience, put forward China's newspaper industry after the reform, the same as other companies, to establish a reasonable corporate governance structure, corporate governance of media should be considered as a media editorial and business enterprise's unique dual core operation mechanism in the corporate governance structure to set up the post editor in chief the editorial board, and the board of directors shall be in the same important position. This provides a feasible path for the development of the corporate governance after the restructuring of China's industry, hoping to provide reference for China's media reform.
